2026 SERVICE AGREEMENT: Course Upload
Limited Introductory Offer: $497

This Agreement is entered into between CWB4SW, INC. ("Service Provider") and the purchaser ("Client") for services rendered as part of the Course Upload Service.

1. SERVICE PACKAGE

Course Upload

Recorded a new course? We'll professionally organize and upload your course inside Kajabi so it's ready for your students.

What's Included

✓ Kajabi course structure created for you

✓ Up to 12 Modules

✓ Up to 3 Lessons per Module
(maximum 36 lessons)

✓ Upload of videos, audio files, PDFs, downloads and lesson text provided by Client

✓ Basic Kajabi formatting and organization

✓ Branded to match your existing Kajabi website (colors, fonts and styling where applicable)

Client Provides

The Client agrees to provide:

• Final course outline

• Final videos

• Audio files

• PDFs, worksheets and downloads

• Lesson text (if applicable)

• Brand fonts and colors (if not already on file)

All content must be finalized before implementation begins.

This service does not include content creation, copywriting, video editing, graphic design, curriculum development, or revisions to course content.

2. INVESTMENT

One-Time Investment:

$497 USD

Limited to the first 10 clients at this introductory rate.

After these introductory spots are filled, pricing may increase without notice.

Payment is due in full before work begins.

Credit Card Payments:
1.75% Processing Fee

PayPal Payments:
3.0% Processing Fee

3. PROJECT SCOPE

This package includes:

• One Kajabi Product

• Maximum of 12 Modules

• Maximum of 3 Lessons per Module

• Maximum of 36 total lessons

If the project exceeds these limits, an additional quote will be provided before work continues.

Additional work requested outside the agreed scope will be billed separately at our current project rates.

4. REFUND POLICY

STRICT NO REFUND POLICY

Due to the nature of digital implementation services, all payments are non-refundable except as outlined below.

A Client may request a refund only if both of the following conditions are met:

• Client has submitted all required onboarding materials.

• Service Provider has not initiated work within fourteen (14) calendar days from the purchase date.

If both conditions are satisfied, the Client may request a refund in writing.

Project commencement occurs when the client receives onboarding access, submits onboarding materials, or our team begins reviewing, preparing, or planning the project—whichever occurs first.

Work Initiation Includes (but is not limited to)

• Project scheduling

• Internal project setup

• Kajabi access

• Team review of course materials

• Creation of project documents

• Creation of Kajabi course structure

• Communication regarding implementation

Once work has begun, no refunds will be issued.

Changes in business direction, change of mind, delayed launches, or failure to provide materials do not qualify for refunds.

5. CLIENT RESPONSIBILITIES

The Client agrees to:

• Provide complete and final materials before work begins.

• Ensure all uploaded content is owned by the Client or properly licensed.

• Review the completed course promptly.

• Respond to requests for information in a timely manner.

Delays caused by missing materials or lack of communication may delay project completion.

6. REVISIONS

This package includes one round of minor implementation revisions after delivery.

Minor revisions include:

• Moving lessons

• Correcting upload mistakes

• Adjusting module order

• Fixing formatting issues

Major revisions—including replacing videos, rewriting lessons, redesigning the course structure, adding new modules, or changing the curriculum after implementation begins—are outside the scope of this package and will require a separate quote.

7. TIMELINE

Projects are scheduled after:

• Payment is received

• All onboarding materials have been submitted

Most projects are completed within 7–14 business days, although timelines may vary depending on current workload and project complexity.

8. EXPIRATION OF SERVICES

The Client must submit all required onboarding materials within 30 days of purchase.

Once onboarding has been completed, all project work must be completed within 60 days.

Projects left inactive because of missing materials or lack of Client communication may be closed.

Unused services expire after 60 days without refund or credit.

9. FINAL REVIEW

Upon completion, the Client is responsible for reviewing the course inside Kajabi.

Once the Client approves the project, or the course has been delivered for review for seven (7) days without requested revisions, the project will be considered complete.

Future edits, additions, or modifications will require a new service purchase.

10. CONFIDENTIALITY

All Client information, login credentials, and course materials will remain confidential.

11. LIMITATION OF LIABILITY

Service Provider is responsible for implementing materials provided by the Client.

Service Provider is not responsible for:

• Sales performance

• Student engagement

• Marketing results

• Course completion rates

• Technical issues caused by third-party software

• Errors contained within Client-provided content

12. ACKNOWLEDGEMENT

The Client understands that this service is an implementation service only.

The Client retains full responsibility for the accuracy, legality, ownership, and quality of all content submitted.

By purchasing this service, the Client acknowledges that they have read, understood, and agree to these Terms & Conditions.

13. Intellectual Property & Source Files

Upon payment, you retain ownership of the final approved content created specifically for your business, including published graphics, captions, reels, and other completed deliverables produced under your subscription.

However, the following remain the exclusive property of CWB4SW, Inc. and are not included with your subscription or project unless otherwise agreed to in writing:

• Canva design files and editable Canva templates

• Adobe, Photoshop, Illustrator, Premiere Pro, CapCut, or other editable source files

• Kajabi page templates, website templates, funnel templates, and design frameworks

• Internal workflows, systems, SOPs, automations, prompts, and processes

• Custom design libraries, graphics, icons, templates, and production assets created by or licensed to CWB4SW, Inc.

Clients receive the completed deliverables for use in their business but do not receive ownership of the underlying editable production files or proprietary systems used to create them.

If editable source files or design files are desired, they may be available under a separate written agreement and additional licensing or project fees may apply.

14. Portfolio Rights

Unless otherwise agreed in writing, CWB4SW, Inc. reserves the right to display completed work, including websites, funnels, social media content, graphics, and marketing materials, in our portfolio, website, social media, and marketing materials.

Client confidential information will never be shared without permission.
