Welcome to www.marnesemick.com and associated websites, products, programs, communities, and services operated by CWB4SW, INC., doing business as Marne Semick Business Coaching & Digital Agency (“CWB4SW,” “Company,” “we,” “us,” or “our”).

These Terms & Conditions (“Terms”) govern your use of our websites and your purchase or use of our products, programs, subscriptions, coaching, consulting, digital marketing, and agency services.

By accessing our website, purchasing a product or service, enrolling in a program or subscription, or otherwise engaging CWB4SW, INC., you acknowledge that you have read, understood, and agree to these Terms.

Individual products, programs, subscriptions, and services may also be subject to additional checkout terms, proposals, scopes of work, service agreements, or program-specific terms (“Service Agreement”). If there is a conflict between these general Terms and a specific Service Agreement, the specific Service Agreement will control with respect to that service.

1. Company Overview

CWB4SW, INC. is a California-based business coaching and digital marketing agency serving coaches, experts, course creators, consultants, personal brands, and service-based businesses.

Our services may include, but are not limited to:

Kajabi website, course, membership, funnel, and platform development
Business launch strategy and implementation
Digital marketing strategy
Google Ads and Meta Ads management
Search engine optimization (SEO)
Social media management and content creation
Social media audience-growth services
Email marketing
Business and marketing coaching
Consulting and strategy sessions
Memberships and communities
Digital courses, trainings, templates, and resources
Other agency, marketing, design, and implementation services

Specific deliverables, timelines, pricing, and scope are determined by the Service Agreement or checkout terms associated with the product or service purchased.

2. Scope of Services

CWB4SW, INC. will provide the services specifically identified in the applicable Service Agreement, checkout page, proposal, or offer description.

Unless expressly included in writing, services do not include unlimited revisions, unlimited consulting, unlimited technical support, open-ended project management, ongoing marketing management, or work outside the defined scope.

Requests outside the agreed scope may require an additional fee or separate agreement.

CWB4SW, INC. may use employees, independent contractors, specialists, designers, developers, account managers, marketing professionals, or other team members to perform portions of the services.

3. Payment Terms

All fees are payable in U.S. dollars unless otherwise stated.

By purchasing a product or service, you authorize CWB4SW, INC. and its payment processors to charge the payment method provided according to the payment schedule presented at checkout or contained in your Service Agreement.

For subscriptions and recurring services, your payment method will automatically be charged at the applicable recurring interval until the subscription is canceled in accordance with the applicable cancellation terms.

Payment plans are commitments to pay the full amount specified in the applicable Service Agreement and are not month-to-month subscriptions unless expressly stated otherwise.

Cancellation of participation, failure to use the service, or failure to provide materials does not automatically cancel amounts already owed under a payment plan or agreement.

Past-due accounts may result in suspension of services, deliverables, account access, community access, or support until the account is brought current.

4. Strict No-Refund Policy

Unless a specific written Service Agreement expressly provides otherwise, all purchases and payments to CWB4SW, INC. are non-refundable once work has commenced or access to a digital product, program, membership, or service has been provided.

For agency, consulting, coaching, implementation, design, Kajabi, marketing, or other service-based engagements, a refund is available only when both of the following conditions are met:

The Client has submitted all required onboarding materials in full; and
CWB4SW, INC. has not initiated work within fourteen (14) calendar days of purchase or contract execution.

For purposes of this policy, work commencement occurs when the Client receives onboarding access, submits onboarding materials, or CWB4SW, INC. or any member of its team begins reviewing, preparing, planning, creating, configuring, researching, or implementing the project—whichever occurs first.

Work initiation includes, but is not limited to:

Providing onboarding access
Reviewing onboarding forms or submitted materials
Creating or organizing project folders
Conducting onboarding or strategy calls
Research or strategy preparation
Copywriting or content planning
Design concepts or mockups
Website, Kajabi, funnel, or technical setup
Advertising or SEO preparation
Audience or market research
Social media planning or creation
Internal team preparation or project management
Any work performed by CWB4SW, INC. or its team on behalf of the Client

Once work has commenced, no refunds will be issued.

Refunds will not be provided because of:

A change of mind
Non-participation
Failure to use purchased services
Failure to provide requested information, assets, approvals, or credentials
Client-caused delays
A change in business direction
Dissatisfaction with subjective creative preferences or outcomes
Failure to implement recommendations
Market conditions
Failure to achieve desired revenue, leads, followers, traffic, rankings, engagement, or other business results

Digital products, downloadable products, courses, memberships, templates, recordings, and other immediately accessible digital materials are non-refundable once access has been granted, except where otherwise required by law.

5. Subscription Cancellation

Month-to-month subscriptions may be canceled according to the cancellation process specified for that particular service.

Unless otherwise stated in the applicable Service Agreement:

Cancellation prevents the next recurring charge.
No partial-month refunds or prorated credits are provided.
Amounts already charged are non-refundable.
Services continue only through the applicable paid service period unless otherwise specified.
Cancellation does not eliminate amounts already owed under a fixed payment plan or contractual commitment.

Certain subscriptions may require notice before the next billing date. Any service-specific cancellation requirements presented at checkout or in a Service Agreement will control.

6. Completion, Cancellation & Access Termination

When a project, program, subscription, or service ends, access to related services and resources may also end.

Depending upon the service purchased, this may include access to:

Client support
WhatsApp, Slack, or other communication channels
Strategy or coaching calls
Live Q&A calls
Community access
Training libraries
Internal project-management systems
Shared Google Drive folders
Team implementation
Marketing management
Optimization services
Technical support
Internal systems, folders, files, or tools

Clients are responsible for downloading or retaining copies of any final deliverables expressly provided to them before access expires.

Internal working files, source files, editable design files, templates, systems, and proprietary materials are not considered Client deliverables unless expressly agreed otherwise in writing.

CWB4SW, INC. reserves the right to suspend or terminate services for non-payment, violation of these Terms, misuse of services, abusive or threatening behavior, unlawful activity, or material disruption of our team or other clients.

7. Client Responsibilities

Successful delivery depends upon timely Client participation.

Clients agree to:

Complete required onboarding materials accurately and promptly
Provide requested copy, content, branding, images, credentials, approvals, and other assets
Respond to requests and approvals in a timely manner
Attend scheduled meetings on time
Use designated project-management and communication channels
Review work and provide consolidated feedback when requested
Maintain access to required third-party platforms and accounts
Complete agreed action steps or implementation responsibilities
Communicate respectfully and professionally with our team

Delays caused by missing materials, delayed approvals, non-responsiveness, account-access issues, or other Client-side delays do not automatically extend project timelines, subscription periods, program terms, or scope of work.

They also do not create a right to a refund.

8. Calls, Meetings & Scheduling

Scheduled coaching, strategy, consulting, onboarding, or implementation sessions are subject to the scheduling and cancellation requirements communicated for the applicable service.

Unless otherwise stated, sessions canceled with less than 24 hours' notice or missed without notice may be considered completed and are non-refundable.

Unused calls or sessions do not carry forward beyond the applicable program or service period unless agreed to in writing.

9. Intellectual Property & Final Deliverables

Upon full payment of all amounts due, Clients may use the final approved deliverables created specifically for their business in the ordinary operation and marketing of their business.

Depending upon the service, final deliverables may include published website pages, completed graphics, approved captions, edited videos or reels, written copy, configured funnels, emails, or other finished materials specifically identified as deliverables.

Purchase of a service does not transfer ownership of the underlying editable production files, templates, systems, frameworks, methodologies, processes, or proprietary tools used to create those deliverables.

CWB4SW, INC. retains all rights, title, and interest in its pre-existing and proprietary intellectual property, including but not limited to:

Canva design files and editable Canva templates
Adobe Photoshop, Illustrator, Premiere Pro, CapCut, or other editable source files
Kajabi page templates
Website and landing-page templates
Funnel templates and design frameworks
Code libraries and reusable design elements
Internal workflows and systems
Standard operating procedures (SOPs)
Automations
Prompts
Checklists
Strategy frameworks
Training materials
Methodologies
Internal documents
Design libraries
Graphics, icons, stock assets, and production resources created by or licensed to CWB4SW, INC.
Any reusable intellectual property developed before or independently of the Client engagement

Clients receive the completed deliverables for use in their business. They do not receive the underlying editable or source files used to create those deliverables.

This applies to all services, including but not limited to Kajabi websites and funnels, social media content, graphic design, video editing, email marketing, landing pages, advertising creative, and other digital assets.

Editable Canva files, Kajabi templates, source files, design systems, or other production files may be available only under a separate written agreement. Additional licensing, transfer, or project fees may apply.

Nothing in these Terms grants the Client the right to resell, redistribute, sublicense, reproduce, or commercially distribute CWB4SW, INC.'s proprietary templates, frameworks, methodologies, systems, or intellectual property.

10. Third-Party Platforms & Accounts

Many of our services rely upon third-party platforms, which may include Kajabi, Google, Meta, Instagram, Facebook, Canva, Calendly, email providers, payment processors, advertising platforms, social networks, search engines, analytics providers, and other software.

CWB4SW, INC. does not own or control these third-party platforms and is not responsible for:

Platform outages
Algorithm changes
Policy changes
Account suspensions or restrictions
Advertising disapprovals
Changes in search rankings
Changes in social media reach
Loss of third-party functionality
Changes in platform pricing
API or integration failures
Account-security actions initiated by third-party platforms

Clients are responsible for complying with the terms and policies of platforms associated with their accounts.

Where account access is required for us to perform services, the Client agrees to provide the necessary permissions, credentials, verification codes, or authorized access in a timely manner.

11. Advertising, SEO, Social Media & Marketing Results

Marketing performance varies substantially by business, industry, offer, audience, budget, competition, market conditions, content, account history, platform behavior, and Client participation.

CWB4SW, INC. does not guarantee:

Revenue
Sales
Leads
Cost per lead
Return on advertising spend
Advertising performance
Search-engine rankings
Website traffic
Social media followers
Engagement
Reach
Conversions
Audience growth
Business profitability
Any specific marketing or financial result

SEO, organic marketing, content marketing, audience development, and brand growth are cumulative strategies and results may develop over time, including after a particular service period has ended.

12. No Professional Advice

CWB4SW, INC. provides business coaching, consulting, education, marketing, strategy, and implementation services.

We do not provide legal, medical, tax, accounting, investment, financial-planning, or mental-health advice.

Nothing contained on our website, in our programs, or in our services should be interpreted as professional advice in those fields.

Clients are responsible for consulting qualified professionals when appropriate.

13. No Guarantees

Testimonials, examples, case studies, revenue figures, marketing results, follower growth, client experiences, and other examples presented by CWB4SW, INC. illustrate individual experiences only.

They do not constitute promises or guarantees of future performance.

Your results depend upon numerous factors outside our control, including your offer, market, audience, implementation, participation, business experience, pricing, competition, economic conditions, advertising budget, platform changes, and other variables.

14. Confidentiality & Privacy

CWB4SW, INC. will treat confidential Client business information with reasonable care.

Private 1:1 sessions are treated as confidential except where disclosure is required by law or necessary to provide contracted services through our team.

Group coaching calls, workshops, community sessions, webinars, and similar group experiences may be recorded.

Where applicable, recordings may be used for educational, training, or promotional purposes.

Our collection and use of personal information is also governed by our Privacy Policy.

15. Portfolio & Marketing Rights

Unless otherwise agreed in writing, CWB4SW, INC. may display completed, publicly available work created for Clients as examples of our services.

This may include:

Websites
Kajabi builds
Funnels
Landing pages
Social media content
Graphics
Branding
Marketing materials
Advertising creative
Other completed work

Such work may be displayed in our portfolio, website, social media, presentations, proposals, case studies, or other marketing materials.

We will not knowingly disclose confidential Client information in connection with such use.

Clients who require different portfolio or confidentiality arrangements must request them in writing.

16. Website & Digital Content Intellectual Property

Unless otherwise indicated, the content appearing on CWB4SW, INC. websites, courses, communities, programs, trainings, and digital properties is owned by or licensed to CWB4SW, INC.

This includes text, videos, graphics, course materials, frameworks, worksheets, templates, branding, training materials, downloads, and other intellectual property.

You may not copy, reproduce, republish, distribute, sell, sublicense, share, modify, or commercially exploit these materials without prior written permission.

Purchasing access to a course, program, membership, template, or digital product grants you a limited, personal, non-transferable license to use the material for its intended purpose unless otherwise stated.

17. Limitation of Liability

To the fullest extent permitted by applicable law, CWB4SW, INC., its owners, employees, contractors, agents, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the website, products, programs, services, third-party platforms, or business outcomes.

To the fullest extent permitted by law, CWB4SW, INC.'s aggregate liability arising from a particular paid service will not exceed the amount actually paid by the Client to CWB4SW, INC. for the specific service giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

18. Changes to Services or Terms

CWB4SW, INC. may update these Terms from time to time to reflect changes in our services, business practices, technology, or applicable requirements.

The “Last Updated” date at the top of this page identifies the most recent revision.

Changes will apply prospectively unless otherwise required by law or agreed in writing.

Material changes to an existing Client's contracted scope, pricing, or payment obligations will remain governed by the applicable Service Agreement.

19. Governing Law

These Terms and any disputes arising from them are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any additional dispute-resolution provisions contained in an applicable Service Agreement will also apply.

20. Entire Agreement & Service-Specific Terms

These Terms, together with the applicable checkout terms, proposal, Service Agreement, order form, or other written agreement between the Client and CWB4SW, INC., constitute the agreement applicable to the purchased services.

If a service-specific agreement contains terms that differ from these general website Terms, the service-specific agreement controls with respect to that service.

By using this website, completing checkout, purchasing a product or service, enrolling in a subscription or program, or engaging CWB4SW, INC., you acknowledge that you have read, understood, and agreed to these Terms & Conditions and any additional terms associated with the specific product or service you purchase.
